This End User License Agreement (“EULA”) is concluded between you and NXTLVL Tech Solutions Private Limited only, and not with Apple Inc. (“Apple”). NXTLVL, not Apple, is solely responsible for the Riko application and its content. This EULA does not provide for usage rules for the application that conflict with the Apple Media Services Terms and Conditions; in the event of a conflict, those Apple terms prevail as to your use of the App Store.
You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to Riko.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use Riko on any Apple-branded product that you own or control, and as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions, except that Riko may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, where enabled.

All rights not expressly granted are reserved by NXTLVL and its licensors. Riko is licensed, not sold, to you.
Riko connects to your accounting data (including Tally ERP data, where you choose to connect it) on a read-only basis and uses artificial intelligence to produce summaries, reports, reminders, dashboards and answers to your questions.
Riko is an information tool, not a professional adviser. It does not provide accounting, audit, tax, legal, investment or financial advice, and no chartered accountant–client, advisory or fiduciary relationship is created by your use of it. AI-generated output can be incomplete or wrong. You are responsible for reviewing every figure, report, return and reminder before relying on it, filing it, or sending it to a third party, and you should consult a qualified professional for advice specific to your circumstances.
Where Riko assists with statutory filings (for example GST returns) or sends messages on your behalf, you remain the filer and sender of record and are solely responsible for accuracy, completeness and timeliness. Filings require your explicit authorisation (such as an OTP or EVC) — Riko will not file without it.
Riko may be offered free, on a trial basis, or as a paid subscription or one-time purchase. Purchases made inside the app are processed by Apple through your Apple Account at the prices and taxes shown at the time of purchase.
NXTLVL is solely responsible for any maintenance and support for Riko, to the extent it is required by applicable law or as we choose to provide it. You can reach us at support@rikoai.in. Apple has no obligation whatsoever to furnish any maintenance or support services for Riko.
To the maximum extent permitted by applicable law, Riko is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that Riko will be uninterrupted, error-free, or that its output will be accurate or complete.
In the event of any failure of Riko to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for Riko to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Riko. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are the sole responsibility of NXTLVL.
Nothing in this EULA excludes or limits any right you have under mandatory consumer protection law that cannot lawfully be excluded.
To the maximum extent permitted by applicable law, NXTLVL will not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profits, revenue, goodwill, business, or data, arising out of or in connection with your use of or inability to use Riko — including reliance on AI-generated output, an inaccurate figure or report, a missed filing or deadline, or a lost or corrupted data connection.
Our total aggregate liability arising out of or relating to this EULA is limited to the greater of (a) the amount you paid for Riko in the twelve (12) months before the event giving rise to the claim, or (b) INR 5,000. This limit does not apply to liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
NXTLVL, not Apple, is responsible for addressing any claims by you or any third party relating to Riko or your possession and/or use of Riko, including: (a) product liability claims; (b) any claim that Riko fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy or similar legislation, including in connection with Riko's use of any health-, fitness- or finance-related framework. This EULA does not limit NXTLVL's liability to you beyond what is permitted by applicable law.
You acknowledge that, in the event of any third-party claim that Riko or your possession and use of Riko infringes that third party's intellectual property rights, NXTLVL, not Apple, will be solely responsible for the investigation, defence, settlement and discharge of any such claim.
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You further agree to comply with all applicable third-party terms and all applicable laws in your use of Riko.
You must comply with applicable third-party terms of agreement when using Riko — for example, the terms of your wireless data plan, and the licence terms of any accounting software (such as Tally) or other service you connect to Riko. Third-party services and data sources are not under our control, and we are not responsible for their availability, accuracy or acts.
You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that Apple will have the right (and is deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of it.
This EULA is effective until terminated. It terminates automatically if you breach any of its terms. You may terminate at any time by ceasing all use of Riko and deleting it from your devices. We may suspend or terminate your access if you breach this EULA, if required by law, or if we discontinue Riko. On termination, your licence ends immediately; sections 3, 4, 7, 8, 9, 10, 13 and 15 survive.
This EULA is governed by the laws of India, without regard to conflict-of-laws rules, and the courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute arising from it — except that this does not deprive you of the protection of any mandatory consumer law of your country of residence, or of the right to bring proceedings there where that law so requires.
We may update this EULA to reflect changes to Riko or to legal requirements. Material changes will be notified in the app or by email before they take effect; continuing to use Riko after that date means you accept the update. The current version is always at https://rikoai.in/eula.
This EULA and our Privacy Policy are the entire agreement between you and us regarding Riko. If any provision is held unenforceable, the remainder stays in force, and our failure to enforce a provision is not a waiver of it. You may not assign this EULA; we may assign it to an affiliate or in connection with a merger or sale of assets.
